Terms & Conditions

The rules governing use of our website and engagement with Red Hot Media House.

1. Acceptance of Terms

By accessing our website at www.redhotmediahouse.com, engaging our services, or entering into any agreement with Red Hot Media House (“the Agency,” “we,” “us,” or “our”), you (“the Client” or “you”) agree to be legally bound by these Terms & Conditions.

These Terms apply to all visitors, prospects, clients, and any other party who interacts with the Agency, whether through our website, proposal agreements, service contracts, or any other means of engagement.

If you do not agree with any part of these Terms, you must discontinue the use of our website and services immediately.

2. Website Usage

The content published on www.redhotmediahouse.com, including but not limited to text, graphics, logos, images, case studies, and portfolio materials, is the property of Red Hot Media House or licensed to us.

  • You may browse our website for informational purposes
  • You may not reproduce, republish, distribute, or commercially exploit any content from this website without our prior written permission
  • We reserve the right to modify, suspend, or discontinue any part of our website at any time without notice
  • Unauthorized use of this website may give rise to a claim for damages and/or be a criminal offence

3. Intellectual Property Rights

3.1 Agency's Intellectual Property

All creative work, strategies, methodologies, templates, frameworks, and proprietary systems developed by Red Hot Media House remain the intellectual property of the Agency unless expressly agreed otherwise in writing.

3.2 Client's Intellectual Property

The Client retains ownership of all brand assets, content, and materials provided to the Agency for use in campaigns and projects.

3.3 Deliverable Ownership

Upon receipt of full payment for a project, ownership of the final deliverables is transferred to the Client. This does not include the Agency's underlying tools, frameworks, source code libraries, or intellectual property used in creating those deliverables, unless specifically agreed in writing.

3.4 Portfolio Rights

The Agency reserves the right to showcase completed work in its portfolio, case studies, presentations, and on social media, unless the Client explicitly requests confidentiality in writing prior to project commencement.

4. User Responsibilities

As a client or user, you agree to:

  • Provide accurate, complete, and up-to-date information required for service delivery
  • Respond to communication and approval requests in a timely manner
  • Provide access to required platforms, accounts, tools, and assets as needed
  • Ensure that any content or materials you supply do not violate third-party intellectual property rights, applicable laws, or platform policies
  • Make payments as per agreed terms and timelines
  • Not attempt to reverse-engineer, copy, or misuse any proprietary systems, strategies, or materials created by the Agency

5. Service Scope

Red Hot Media House offers a range of digital marketing and creative services including, but not limited to:

  • Search Engine Optimisation (SEO)
  • Social Media Marketing and Management
  • Performance Marketing and Paid Advertising (Google, Meta, LinkedIn, etc.)
  • Web Design and Development
  • Branding and Visual Identity
  • Content Marketing and Copywriting
  • Lead Generation Campaigns
  • Creative Services and Production
  • Digital Marketing Consultation

The specific scope of services for each engagement is defined in the individual project proposal, contract, or service agreement provided to the Client. Services not explicitly mentioned in the agreed scope are not included unless formally added via a scope change request.

6. Payments & Billing

  • All service fees are quoted in Indian Rupees (INR) unless otherwise specified. International clients may be invoiced in USD or as mutually agreed.
  • Payment terms are as outlined in the project proposal or service agreement, typically 50–100% advance depending on the service type.
  • Monthly retainer services are billed in advance at the beginning of each billing cycle.
  • Invoices are due within the payment period specified. Late payments may result in service suspension.
  • The Agency reserves the right to revise its pricing with reasonable prior notice.
  • All applicable taxes (including GST as per Indian law) will be applied to invoices.

7. Project Timelines

Estimated timelines are provided in good faith based on project scope and current workload. Timelines are subject to:

  • Timely receipt of required materials, approvals, and feedback from the Client
  • Scope changes or additional revisions requested mid-project
  • Third-party platform dependencies or technical delays beyond our control
  • Force majeure events including system outages, natural disasters, or regulatory changes

The Agency will communicate proactively in the event of timeline changes and work collaboratively with the Client to manage expectations.

8. Revisions & Approvals

  • The number of revisions included in each service tier is specified in the project proposal or service agreement.
  • Revisions must be submitted as consolidated feedback. Multiple partial revision rounds may be counted towards the revision limit.
  • Revisions that constitute a fundamental change in direction, scope, or brief may be treated as new work and quoted separately.
  • Client approval at each project milestone is required before the Agency proceeds to the next phase.
  • If Client approval is delayed beyond 5 business days without communication, the project may be placed on hold.

9. Third-Party Tools & Platforms

The Agency may recommend or use third-party platforms and tools such as Google Ads, Meta Ads Manager, WordPress, Canva, Semrush, HubSpot, or similar. Please note:

  • The Agency does not own or control these third-party platforms and cannot be held responsible for changes in their policies, pricing, or availability.
  • Advertising results are subject to platform algorithms, audience behaviour, and market conditions.
  • SEO rankings are influenced by search engine algorithms that are constantly updated. The Agency does not guarantee specific ranking positions or timeframes.
  • Third-party software costs (e.g., plugin licenses, platform subscriptions) are the Client's responsibility unless included in the agreed service package.

10. SEO & Marketing Results Disclaimer

The Client acknowledges and agrees that:

  • Digital marketing results, including SEO rankings, website traffic, social media growth, and paid advertising performance, are subject to variables beyond the Agency's direct control.
  • The Agency makes no guarantee of specific results, rankings, conversions, or revenue outcomes.
  • SEO is a long-term strategy and results may take 3–6 months or longer to become measurable.
  • Algorithm changes by Google, Meta, or other platforms may affect campaign performance.
  • The Agency commits to applying best practices, industry expertise, and diligent effort to achieve the best possible outcomes within the agreed scope.

11. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business information shared during the course of their engagement. This includes but is not limited to business strategies, financial information, client data, and proprietary methodologies.

The Agency will not disclose confidential Client information to third parties without the Client's written consent, except where required by law or where disclosure is necessary to deliver contracted services (e.g., platform access for ad management).

12. Limitation of Liability

To the maximum extent permitted by applicable law, Red Hot Media House shall not be liable for:

  • Indirect, incidental, special, or consequential damages arising from the use of our services
  • Loss of revenue, business, or data resulting from reliance on our services
  • Actions taken by third-party platforms or advertising networks
  • Delays or losses arising from the Client's failure to provide timely approvals or information

The Agency's total liability to the Client under any circumstances shall not exceed the total fees paid by the Client for the specific service that gave rise to the claim in the 3 months preceding the incident.

13. Termination of Services

  • Either party may terminate a service agreement with 30 days' written notice, unless otherwise specified in the contract.
  • Monthly retainer services may be cancelled at the end of the current billing cycle with 30 days' advance notice.
  • The Agency reserves the right to terminate services immediately in the event of non-payment, breach of these Terms, unethical conduct, or actions that damage the Agency's reputation.
  • Upon termination, the Client is liable for all fees accrued up to the termination date. Completed work will be delivered upon receipt of any outstanding payments.

14. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. The parties submit to the exclusive jurisdiction of the courts located in Noida, India for resolution of any disputes arising from these Terms.

15. Dispute Resolution

In the event of any dispute arising from or relating to these Terms or the provision of services, the parties agree to:

  • First attempt to resolve the dispute through good-faith negotiation within 15 business days of written notice of the dispute
  • If negotiation fails, engage in mediation with a mutually agreed mediator
  • If mediation is unsuccessful, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 (India), or as amended from time to time

16. Changes to Terms

We reserve the right to update or modify these Terms & Conditions at any time. Changes will be posted on this page with a revised effective date. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.

For significant changes that affect ongoing client engagements, we will provide advance notice via email.
